INFORMATION FOR WHISTLEBLOWERS - REPORTING UNLAWFUL CONDUCT


ZPS - FRÉZOVACÍ NÁSTROJE a.s. (hereinafter also referred to as "ZPS-FN") has implemented an internal reporting system in connection with the Whistleblower Protection Act, which allows employees and other persons specified in the Act to report possible illegal activities at the ZPS-FN workplace.

WHO CAN SUBMIT A REPORT?


- Employees (both those in employment and those working on a contract basis)
- Interns, trainees
- Persons providing services in the areas of occupational health and safety, fire protection, environmental protection, etc.

WHAT KIND OF CONDUCT CAN BE REPORTED?


- Illegal conduct whose social harmfulness/dangerousness is defined by other legal regulations as a criminal offense, through the elements of the offense,
- illegal conduct defined by other legal regulations as an offense through the elements of the offense, for which the law sets a fine with an upper limit of at least CZK 100,000
- conduct that violates Act No. 171/2023 Coll. on the protection of whistleblowers,
- conduct that violates other legal regulations or European Union regulations with direct effect or national transposition or adaptation legal regulations that reflect the rules arising from EU legal regulations into the Czech legal system in the areas of:

        1. financial services, statutory audit and other assurance services, financial products and financial markets,
        2. corporate income tax,
        3. prevention of money laundering and terrorist financing,
        4. consumer protection,
        5. compliance with product requirements, including product safety,
        6. transport safety, transport and road traffic,
        7. environmental protection,
        8. food and feed safety and animal protection and health,
        9. radiation protection and nuclear safety,
       10. competition, public auctions and public procurement,
       11. protection of internal order and security, life and health,
       12. protection of personal data, privacy and security of electronic communications networks and information systems,
       13. protection of the financial interests of the European Union, or
       14. functioning of the internal market, including protection of competition and state aid under European Union law.

HOW TO SUBMIT A REPORT?


Whistleblowers can submit their reports:

- through the internal reporting system:

      1. in writing to the employer's address,
      2. electronically to the address: whistleblowing @zps-fn.cz,
      3. verbally – by telephone at 576 777 517, on working days between 9:00 a.m. and 3:00 p.m.,
      4. in person to the relevant person, if requested by the whistleblower; reports submitted in this form must be accepted within a reasonable time, no later than 14 days after the request is made.

- via an external reporting system set up by the Ministry of Justice of the Czech Republic; alternatively, reports may also be made to other public authorities competent to deal with the reported unlawful conduct.

HOW IS THE REPORT HANDLED?


Within seven calendar days, the person handling the report will confirm receipt of your report in writing to the reporter (this does not apply if the reporter expressly asks the person handling the report not to do so, or if it is clear that notification of receipt of the report would reveal the identity of the reporter to another person).

Based on the information provided by the whistleblower, the investigator will investigate the circumstances of the reported conduct within the company. Subsequently, they will propose measures to prevent the reported conduct from continuing and to remedy the situation. The investigator will also monitor the acceptance and implementation of these measures.

ZPS-FN will not take any negative (retaliatory) measures against the whistleblower in connection with the submission of the report (such as termination of employment, reduction of salary or other disadvantages, transfer to another job, etc.).

The person handling the report will inform the reporter within 30 days at the latest how the report has been assessed and what measures have been proposed. In complex cases, this period may be extended by up to 60 days.

ADDITIONAL INFORMATION


Anonymous reports are excluded from the scope of the reporting system.

Reports must be truthful and authentic. Knowingly false reports may not be submitted. If the whistleblower does so, they are not protected by law and subsequent measures may be taken against them by the company, the injured party, and state authorities.

When submitting a report, it is also not possible to engage in conduct that would constitute a criminal offense.
